These Terms of Service ("Terms") form a binding legal agreement between you and LumenIQ LLC, a limited liability company with offices in Orange County, California ("LumenIQ," "we," "us," or "our"). They govern your access to and use of the LumenIQ Services, which include the websites, mobile applications, bar/venue display software, APIs, and content for our products SportsIQ (a free trivia and sports-prediction experience for bars and patrons), InfluenceIQ (a creator and influence analytics platform), and any other product, feature, or content we offer (collectively, the "Services").
Please read these Terms carefully. By creating an account, downloading our app, or otherwise accessing or using any of the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
You must be at least eighteen (18) years old and a legal resident of the United States to use the Services. SportsIQ is deployed in age-restricted venues (such as bars and other 21+ on-premise locations); your participation at any such venue is also subject to the venue's own age requirements and the laws of the jurisdiction. By using the Services, you represent and warrant that you meet these requirements and are legally able to enter into a binding contract.
We do not knowingly collect personal information from anyone under 18. If we learn that we have collected information from someone under 18, we will promptly delete that information and the associated account. If you believe someone under 18 has provided us with personal information, please contact us at support@lumen-iq.com.
You may not use the Services if you are barred from doing so under applicable law or have previously been suspended or removed by us.
To use most features of the Services, you must create an account by providing your mobile phone number and verifying it by SMS one-time code. You agree to provide accurate, current, and complete information, to keep your credentials confidential, to notify us promptly of any unauthorized use, and to be responsible for all activity under your account.
Account communications and marketing. By creating an account, you expressly consent to receive communications from LumenIQ for both account-essential and marketing purposes. This includes account verification, security alerts, gameplay updates, leaderboard and reward notifications, new features, promotions, partner offers, sweepstakes announcements, and similar updates from LumenIQ and any LumenIQ product (including SportsIQ and InfluenceIQ).

Communications may come by SMS, email, push notification, or in-app message, may use automated or pre-recorded systems, and may be sent based on your gameplay, signup venue, or other engagement signals. Standard message and data rates may apply; message frequency varies based on your activity.
You may opt out of marketing SMS at any time by replying STOP to any marketing message; reply HELP for help. You may unsubscribe from marketing email or push notifications using the link or controls in each message. Opting out of marketing does not affect account-essential messages (verification, security, and material changes to the Services), which we may continue to send. Carriers are not liable for delayed or undelivered messages. See our Privacy Policy for details on how we share contact and engagement data with bars and partners.
Subject to your compliance with these Terms, LumenIQ grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial use. We reserve all rights not expressly granted.
No purchase is required to use SportsIQ, to play any trivia round or Predictor pick, to earn IQ points, to enter any sweepstakes or contest, or to be eligible for any promotional reward. SportsIQ is free-to-play. Any subscription, premium tier, or paid feature (where offered) provides additional convenience or features only and is not a condition of contest entry, IQ accrual, or eligibility for any promotional reward. The odds of receiving any promotional reward are not affected by whether you pay for any optional feature.
SportsIQ is a free-to-play, skill-based entertainment product. Trivia games and Predictor picks are offered solely for entertainment and skill demonstration. No purchase is required to play, and you cannot wager money, points, or anything of value on any outcome. SportsIQ is not a sportsbook, betting exchange, daily fantasy sports operator, or other gambling operator, and LumenIQ does not facilitate, broker, or accept any wagers, stakes, or bets between users or with any third party. Any third-party odds data displayed within the Services is sourced from licensed data providers and is shown for informational purposes only.
"IQ" points, achievements, tier badges, leaderboard rankings, and similar virtual rewards earned through gameplay are non-monetary, non-transferable, and have no cash value. They cannot be sold, exchanged, redeemed by you for cash, traded, or converted to cash or any tangible item.
From time to time, LumenIQ may issue promotional rewards — such as virtual Visa gift cards or other items of value — to users based on engagement milestones (for example, top-of-leaderboard finishes, weekly tier crossings, daily challenge completions, or sweepstakes entries). Promotional rewards are gifts and marketing incentives provided by LumenIQ at its sole discretion. They are not earned compensation, not consideration for any wager, not guaranteed by participation, and not a right of any user. LumenIQ may issue, withhold, modify, delay, substitute, or revoke any promotional reward at any time, for any reason, with or without notice, including (without limitation) where LumenIQ determines that an issue described in Section 4.3 has affected the underlying activity.
Sometimes a game won't be perfect. A trivia question may be ambiguous, a sports event may be cancelled or shortened, two users may tie at the buzzer, or a technical glitch may affect a play. To keep everything fair and moving, LumenIQ has the sole and final say on how every gameplay or reward situation is resolved, including (but not limited to):
You agree that LumenIQ's resolution of any such situation is final and binding, and that no IQ points, rank, achievement, promotional reward, or other benefit is owed to you that LumenIQ has decided not to award (or has decided to withhold, reverse, or revoke). You waive any claim for damages, points, rewards, or compensation that would otherwise have been earned but for LumenIQ's resolution.
Bar and venue features (such as on-site QR check-ins, multipliers, and bar-scoped leaderboards) are intended to make in-person trivia at a participating venue more engaging. Your participation does not entitle you to any prize, payout, or item of value from a bar, venue, or third party unless explicitly stated by that bar, venue, or third party in writing and only as permitted by applicable law. Promotional rewards offered through SportsIQ are issued by LumenIQ as described in Section 4.2.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You will not:
We may, at our sole discretion and without notice, investigate suspected violations, suspend or terminate access, void IQ or ranking gains obtained in violation of these Terms, and/or report unlawful activity to law enforcement.
The Services may allow you to submit content such as a display name or nickname, profile picture, and other limited inputs ("User Content"). You retain ownership of your User Content, but by submitting it you grant LumenIQ a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display that User Content for the purposes of operating, providing, promoting, and improving the Services. This license survives termination of your account to the extent necessary for back-up, regulatory, or legitimate business purposes.
You represent and warrant that you own or have all necessary rights to your User Content and that it does not violate these Terms or any third-party right.
The Services and all content provided by LumenIQ — including software, source code, designs, text, graphics, sounds, trivia question banks, AI models, and analytics tools — are the exclusive property of LumenIQ or its licensors and are protected by copyright, trademark, and other intellectual property laws. The marks "LumenIQ," "SportsIQ," "InfluenceIQ," and our logos are trademarks of LumenIQ. You may not use them without our prior written permission.
The Services may interoperate with or display content from third-party platforms (such as live sports data feeds, sportsbook odds aggregators, social platforms used by InfluenceIQ, payment processors, and SMS gateways). Your use of those platforms is governed by their respective terms; LumenIQ is not responsible for the availability, accuracy, content, or actions of third-party platforms. Sports data, odds, and statistics are provided "as available" by third parties and may be delayed, incomplete, or inaccurate.
If you check in at a participating bar or venue (typically by scanning a QR code or selecting the venue), you authorize LumenIQ to associate your account activity (trivia answers, Predictor picks, IQ earned, presence) with that venue for leaderboard, multiplier, and analytics purposes for the duration of your session. We may share aggregated or de-identified venue-level activity with the venue. You can leave a venue at any time within the app, which removes you from that venue's active leaderboard.
You may delete your account at any time. To request deletion, use the in-app "Delete Account" option (in the You / Profile section) or email support@lumen-iq.com from the address or phone number associated with the account. Upon deletion, we will remove your personal information from active systems within a reasonable period, except where retention is required by law, fraud prevention, or legitimate business purposes. Aggregated and de-identified data, and limited records required for accounting or audit, may be retained as described in our Privacy Policy.
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully.
Some features of the Services (primarily within InfluenceIQ and any future SportsIQ premium tier) may require a paid subscription. Subscriptions automatically renew until canceled. You may cancel through your account settings or the platform you used to subscribe (e.g., Apple App Store, Google Play). Except where required by law, payments are non-refundable. We reserve the right to change pricing on prospective renewal periods upon reasonable notice.
Apple App Store. When the Services are obtained through Apple's App Store, the following additional terms apply: this Agreement is between you and LumenIQ only, and not with Apple, Inc. ("Apple"); Apple is not responsible for the Services or their content. To the maximum extent permitted by law, Apple has no warranty obligation whatsoever with respect to the Services. In the event of a third-party claim that the Services infringe intellectual property rights, LumenIQ — not Apple — is solely responsible for investigation, defense, settlement, and discharge. You and LumenIQ acknowledge that Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You confirm that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government list of prohibited or restricted parties.
Google Play. When the Services are obtained through Google Play, you also agree to comply with the Google Play Terms of Service. Google Inc. is not a party to these Terms and is not responsible for the Services.
We may add, modify, suspend, or discontinue any portion of the Services (including features, content, and integrations) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including suspected violation of these Terms, suspected fraud or abuse, risk to the Services or other users, or extended inactivity. Upon termination, all licenses granted to you cease immediately; sections that by their nature should survive (including IP, disclaimers, limitation of liability, indemnification, dispute resolution, and miscellaneous) will survive.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LUMENIQ DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DATA OR CONTENT WILL BE ACCURATE OR COMPLETE. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LUMENIQ, ITS AFFILIATES, OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY (i) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; (ii) LOSS OF PROFITS, REVENUE, GOODWILL, USE, OR DATA; OR (iii) DAMAGES ARISING FROM ANY THIRD-PARTY CONTENT OR CONDUCT, IN EACH CASE WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND EVEN IF LUMENIQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL LUMENIQ'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (a) THE AMOUNTS YOU PAID TO LUMENIQ FOR THE SERVICES IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR (b) ONE HUNDRED U.S. DOLLARS (US$100.00).
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO PORTIONS OF THE ABOVE MAY NOT APPLY TO YOU.
You agree to defend, indemnify, and hold harmless LumenIQ and its affiliates and their respective officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (i) your access to or use of the Services, (ii) your User Content, (iii) your violation of these Terms or any law or third-party right, or (iv) your interaction with any participating venue.
These Terms and any dispute arising out of or related to them or the Services are governed by the laws of the State of California, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Except for claims for injunctive or equitable relief or claims regarding intellectual property rights (which may be brought in any competent court), the state and federal courts located in Orange County, California will have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Services. You consent to personal jurisdiction in those courts and waive any objection on the basis of forum non conveniens.
If you believe content on the Services infringes your copyright, please send a written notice to our designated agent including: (a) a physical or electronic signature; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the allegedly infringing material with sufficient detail to locate it; (d) your contact information; (e) a statement of good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and you are authorized to act. LumenIQ will not be liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, fuel, energy, labor, or materials.
We may update these Terms from time to time. When we do, we will update the "Last updated" date above and, for material changes, provide reasonable notice (such as via email, in-app message, or a banner on the Services). Your continued use of the Services after the changes take effect constitutes your acceptance of the revised Terms. If you do not agree, stop using the Services and delete your account.
Entire agreement. These Terms and the documents they incorporate by reference (including the Privacy Policy) constitute the entire agreement between you and LumenIQ concerning the Services and supersede any prior agreements between you and LumenIQ.
Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full effect.
No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms without restriction.
No agency. No agency, partnership, joint venture, or employment relationship is created by these Terms.
Headings. Section headings are for convenience only and do not affect interpretation.
